REFUND / SUBSCRIPTION / BILLING TERMS

These Refund / Subscription / Billing Terms apply to all paid Dulvarn plans unless a separate written enterprise agreement states otherwise.
1. Business Purchases Only
Dulvarn is offered for business and professional use only. By purchasing a subscription, you confirm that you are acting in a business or professional capacity and not as a consumer.
2. Plans and Billing Cycles
Dulvarn may offer:
- Starter and Pro plans
- 14-day free trials for eligible plans
- monthly subscriptions
- annual subscriptions
- enterprise/custom plans
- promotional or discounted offers
Pricing is displayed at checkout, in the customer portal, or in an applicable order form.
Primary billing currency: EUR
3. Payment Processor
Payments are processed through Stripe.
By purchasing a subscription, you authorize recurring billing through Stripe for the applicable subscription fees, taxes, and any other charges expressly disclosed at checkout or in your order.
4. Auto-Renewal
Paid subscriptions renew automatically at the end of each billing cycle unless canceled before renewal.
Renewal reminders may be sent by Stripe or through our billing systems, including an email reminder approximately 7 days before renewal where supported by the applicable billing flow. Failure to receive a reminder does not invalidate a renewal otherwise authorized by your subscription.
5. Cancellation
You may cancel your subscription through the Stripe customer portal.
Unless otherwise stated:
- cancellation takes effect at the end of the current billing period
- no partial-period refund is provided merely because you cancel early
- after cancellation, you retain access to paid features until the end of the paid period
- after expiration, paid features may be disabled and account access may be downgraded, suspended, or closed in line with our retention practices
6. No Refunds as a General Rule
Except where required by mandatory law or expressly stated in these Terms, all fees are non-refundable.
This means:
- no refunds for unused time
- no refunds for partial months
- no refunds for partial years
- no refunds due to reduced usage, change of mind, internal reorganization, or failure to cancel before renewal
7. Service Unavailability Credit
If a paid Dulvarn service is unavailable for more than 72 hours within a billing period, the affected customer may request a pro-rated service credit.
7.1 Conditions
A credit is available only if:
- the outage materially affected the core paid service
- the outage was not caused by scheduled maintenance, customer-side issues, force majeure, misuse, or third-party systems outside our reasonable control to the extent the outage was not reasonably preventable by us
- the customer submits the request within 14 days after the relevant outage period by emailing hello@dulvarn.com
7.2 Remedy
If approved, the remedy is a service credit, not a cash refund, unless otherwise required by law.
The service credit will generally be calculated on a pro-rated basis by reference to the affected portion of the billing period.
This service credit is the customer's sole and exclusive monetary remedy for the relevant service unavailability unless a separate enterprise agreement provides otherwise.
8. Setup, Onboarding, and Professional Fees
Any separately quoted:
- setup fees
- onboarding fees
- implementation fees
- professional services fees
are non-refundable once incurred or delivered, unless a separate written agreement states otherwise.
9. Taxes
Fees are exclusive of applicable taxes unless stated otherwise.
Dulvarn currently does not charge VAT because the operator is not yet VAT-registered. If VAT registration status changes, invoices, checkout flows, and pricing disclosures may be updated accordingly.
Customers are responsible for providing accurate billing and tax information, including VAT numbers where applicable.
10. Promotions and Early-Adopter Pricing
Dulvarn may offer promotional pricing, including early-adopter or campaign-based pricing.
Unless expressly stated otherwise:
- promotions may be time-limited
- promotions may apply only to the initial term
- promotions may be withdrawn or modified for future purchases
- promotions cannot be combined unless explicitly allowed
11. Plan Changes
If you upgrade or downgrade your plan:
the effective date, proration, and billing consequences will be shown in the billing flow or customer portal where available
if not otherwise stated, upgrades may take effect immediately and downgrades may take effect at the next renewal
12. Failed Payments and Grace Period
If payment fails:
- we or Stripe may retry the payment method
- we may notify you of the failed payment
- we may provide a 7-day grace period
- after the grace period, we may suspend paid features or access
- if non-payment remains unresolved for 30 days, we may terminate the subscription, revoke access, or close the account
We may also recover reasonable costs associated with unpaid amounts where permitted by law.
13. Chargebacks and Payment Disputes
If you initiate a chargeback or payment dispute without first contacting us to resolve the issue, we may suspend or terminate the affected account while the matter is investigated.
Nothing in this section limits your non-waivable legal rights.
14. Enterprise Agreements
If you enter into a separate enterprise contract, order form, or negotiated commercial agreement with Dulvarn, that agreement controls to the extent it conflicts with these standard Billing Terms.
15. Changes to These Billing Terms
We may update these Billing Terms from time to time. Material changes will be posted with an updated “Last Updated” date and may also be communicated by email or in-product notice where appropriate.
